I believe that the power boat has the right-of-way if it is engaged in fishing operations (trolling), or if the sailboat is overtaking the power boat.

2 weeks ago, we were trolling and I was being overtaken (nearly hit) by a sailboat -- my buddy was trying to tell me the sailboat had the right of way.
